Pantheon Partner Program

A community-driven referral program for operators who believe in the product.

1. Description of the Partner Program

The Pantheon Partner Program allows you to benefit from referral rewards if you meet all requirements of the Program applicable to you.

You can see the requirements for the current Partner Program on the partner page, including eligibility, referral incentives, and conditions attached to the Program.

To participate in the Partner Program, you must invite another person (the "Referral") who is not already a customer of Pantheon to sign up using your unique referral code. An existing Pantheon customer can also become your Referral if they add your unique referral code within (30) days of signing up.

2. Eligibility and Availability

You must be a customer of Pantheon in good standing to participate in the Partner Program.

The Partner Program may not be available in all countries or jurisdictions. If the Program is prohibited in any particular jurisdiction, your participation is unauthorized and will be considered a breach of this Agreement.

The Partner Program is for individual personal usage and not for any commercial usage. If you wish to refer people as part of your business for commercial purposes, including referrals via a website or social media, or any kinds of advertising and marketing activities, we reserve the right to move you to our Partner Program or exercise our rights under clause 6.

3. Prohibited Uses

You may only use Pantheon's Partner Program in good faith and for lawful purposes. You may not:

Prohibited Activities

Create more than one account to invite yourself
Invite those who are already customers of Pantheon (unless within 30 days of sign-up)
Use alternative contact information to refer yourself or others with duplicate accounts
Invite fictitious or non-natural persons
Do anything that damages Pantheon's brand, goodwill or reputation
Use the Partner Program in a deceiving or deceptive manner
Use the Partner Program in any way that breaches applicable laws or regulations
Transmit any unsolicited or unauthorized advertising or promotional material (spam)
Share your unique referral code in a way that could damage Pantheon's brand or reputation

4. Referral Fees and Rewards

You may receive referral rewards ("Referral Fee") each time you meet the Program Requirements.

Referral Fees are subject to the following terms:

Referral Incentives

50% off for the first 6 months for referred users

10% recurring revenue share on all subscriptions driven through your code

5% on your partner network's referrals (when you refer an approved partner)

Payment Terms

All Referral Fees are calculated and paid in US dollars (USD).

Referral Fees are subject to verification and may be withheld or reversed if we determine, in our sole discretion, that they were earned in violation of this Agreement.

5. Wise Requirement

All partners must sign up for Wise and submit their referral link/tag. This is mandatory for payouts.

Wise is required because it:

Limits platform liability

Simplifies global payouts

Keeps everything in USD

Allows Pantheon to cover payment operations cleanly

We are not a payroll provider. We are not responsible for partner tax compliance.

6. Payout Cadence

Default payouts are semi-annual. Earlier payouts are possible based on performance at Pantheon's discretion.

All payouts require Wise setup and completion of Wise KYC/KYB (for individuals or businesses).

Payout timing, thresholds, and cadence may evolve as the program matures. This program may also change at anytime and we always do our best to honour our commitments with partners.

7. Termination

Pantheon reserves the right to, in our sole and absolute discretion:

Amend, change, cancel or restrict the Partner Program at any time, or any Referral Fee at any time and for any reason without notice

Terminate the Partner Program at any time, without notice

Adjust incentives, pause or revoke referral codes, and remove partners at our discretion

In the event the Partner Program is terminated or if your access to our services is terminated for any reason, Pantheon will not be obliged to credit any accounts that would have otherwise qualified for a Referral Fee.

8. No Agency or Partnership

Nothing in this Agreement creates, between you and us, a relationship of employer/employee, principal/agent, a joint venture or a partnership.

Partners are not directly employees, agents, or representatives of Pantheon.

You shall be solely responsible for your own actions or omissions and any tax, insurance contributions or any other assessments incurred by you.

9. Limitation of Liability and Indemnity

Pantheon accepts no liability for any use of the Partner Program which does not comply with this Agreement.

To the maximum extent permitted by law, and notwithstanding any other provision in this Agreement, Pantheon shall not be liable to you whether in contract, tort (including negligence), breach of statutory duty, equity, misrepresentation (whether innocent or negligent), restitution or otherwise for any loss of business, all loss of profit, loss of use of money, loss of revenue, loss of contracts, any increase in costs and expenses, wasted expenditure, dilution of goodwill, loss or corruption of data and all indirect, incidental, consequential, special, punitive or exemplary damages, however arising under this Agreement, even if both you and Pantheon have knowledge of the possibility of such damages arising from or related to this Agreement.

You will indemnify and hold Pantheon, and each of its officers, agents, partners and employees ("Pantheon Indemnitees") harmless from any claims or demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees), whether direct or indirect, including any interest, fines, legal and other professional fees and expenses awarded against or incurred or paid by Pantheon Indemnitees, arising out of, or in connection with:

(a) your breach of this Agreement, including any warranties, representations and undertakings;

(b) any fraud or wilful misconduct committed by you;

(d) your failure to comply with any of the applicable laws or regulations;

(e) any of your acts or omissions, including any negligence which causes or contributes to any loss or damage to a person (or legal entity) or (their) property;

(f) your infringement or alleged infringement of a third party's rights (including any intellectual property rights); and

(g) any claim, demand, fine, penalty, action, investigation or proceeding by any third party (including any subcontractor, regulator or client/customer of Pantheon) against Pantheon caused by your actions (whether directly or indirectly) or omissions.

This provision will continue after our relationship ends and survive any termination under clause 7 above.

You acknowledge that we may use the Referral Fee to set-off any amounts you owe us, for any reason whatsoever (subject to applicable law).

Pantheon's total aggregate liability, whether in contract, tort (including negligence or breach of statutory duty), misrepresentation (whether innocent or negligent), restitution or otherwise, arising in connection with the performance or contemplated performance of this Agreement, shall be limited to the amount paid by Pantheon to you during the (12) months preceding the date on which the relevant claim arose.

10. Changes to This Agreement

We may amend this Agreement, any Program Requirements or other terms or policies that govern your participation in the Partner Program at any time.

Any revised Agreement or Program Requirement will take immediate effect when posted to the Pantheon website or as otherwise expressly indicated.

By continuing to use the Partner Program after any changes take effect, you agree to be bound by those changes.

11. Governing Law

These Partner Program terms shall be governed by the laws of the State of Nevada, without regard to its conflict of law provisions.

Any disputes arising under these terms shall be resolved exclusively in the state or federal courts located in Nevada.
